These Terms of Use ("Terms") form a legal agreement between you and nudgy team ("nudgy," "we," "us," or "our") concerning your access to and use of the nudgy application, website at nudgychat.com, and related services, features, content, and tools (collectively, the "Services").
Please read these Terms carefully. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
1. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority where you live if higher, to use the Services. You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account and should promptly notify us at support@nudgychat.com if you suspect unauthorized access.
2. The Services
nudgy may provide AI-assisted chat, character, image, audio, personalization, and community features. Features may differ by device, location, or account type and may change over time.
AI-generated content may be inaccurate, incomplete, or unexpected. It is provided for general information and entertainment and should not be treated as professional medical, legal, financial, or other expert advice. You remain responsible for reviewing and deciding whether to use or share any output.
3. User Content and Acceptable Use
"User Content" means prompts, messages, images, audio, video, characters, profiles, feedback, and other material you submit, upload, create, or share through the Services.
You must have all rights, permissions, and consents needed for your User Content. You may not use the Services to create, upload, request, distribute, or promote content or conduct that:
- sexually exploits, endangers, grooms, or sexualizes a child or any person presented as under 18;
- contains child sexual abuse material or attempts to create, transform, describe, or obtain such material;
- contains pornography, non-consensual intimate imagery, sexual deepfakes, or content primarily intended for sexual gratification;
- promotes or facilitates human trafficking, compensated sexual services, predatory behavior, or sexual violence;
- promotes suicide, self-harm, eating disorders, dangerous acts, terrorism, violent extremism, illegal drugs, or other criminal activity;
- is hateful, harassing, threatening, defamatory, deceptive, or intended to bully or exploit another person;
- impersonates a real person without permission or uses a person's face, voice, likeness, or identity to deceive, defraud, or cause harm;
- infringes intellectual property, privacy, publicity, contractual, or other rights;
- contains malware, spam, unauthorized advertising, or attempts to interfere with the Services or bypass safety controls;
- generates fraudulent documents, facilitates scams, or materially misleads others about civic or election-related matters; or
- otherwise violates applicable law or creates a material risk of harm.
Do not upload a third party's photograph, voice, or other personal data unless you have their valid permission and a lawful basis to do so. Content involving real people must not be used in misleading, intimate, exploitative, or harmful ways.
4. Community Safety and Moderation
If the Services allow User Content to be made available to other users, you must accept these Terms before posting. Public or shared content may be reviewed using automated systems and, where appropriate, trained reviewers.
Users can report objectionable content or conduct through the in-app reporting tools or by contacting support@nudgychat.com. Where user-to-user interaction is available, users can also block other users through the in-app controls. We may remove or restrict content, reduce its visibility, limit features, suspend accounts, or report conduct to appropriate authorities when reasonably necessary to enforce these Terms, protect users, or comply with law.
We do not guarantee that all objectionable content will be identified immediately. Please do not resubmit prohibited material when making a report.
5. Ownership and Licenses
As between you and nudgy, you retain your rights in User Content. You grant nudgy a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, transmit, and display User Content only as reasonably necessary to operate, secure, moderate, support, and improve the Services, fulfill your requests, comply with law, and exercise the rights described in these Terms. This license lasts only as long as reasonably necessary for those purposes, subject to backup, legal, safety, and recordkeeping requirements.
If you choose to publish or share content, you also authorize nudgy to make it available according to your selected settings and enable other users to view and interact with it. You may change available visibility settings or delete content, subject to reasonable processing time and the retention terms in our Privacy Policy.
We will not use private User Content to train general-purpose AI models unless we disclose that use and obtain any consent required by applicable law. If an optional model-improvement setting is offered, you may manage it through the controls provided.
The Services, including our software, branding, interfaces, and original content, are owned by nudgy or its licensors and are protected by law. Except as expressly permitted, you may not copy, sell, reverse engineer, or distribute them.
6. Copyright Complaints
If you believe content available through the Services infringes your copyright, send a notice to support@nudgychat.com identifying the protected work, the allegedly infringing material, your contact information, a good-faith statement, and any other information required by applicable law. We may remove content and take action against repeat infringers.
7. Third-Party Services
The Services may use or link to third-party services. Their terms and privacy practices apply to their services. nudgy is not responsible for third-party services outside our control.
8. Suspension and Termination
You may stop using the Services at any time and may request account deletion through the in-app account settings or the deletion method described in our Privacy Policy.
We may restrict, suspend, or terminate access when we reasonably believe you violated these Terms, created risk or harm, or when required by law. Where appropriate, we may provide notice or an opportunity to appeal. Serious child-safety, exploitation, fraud, or security violations may result in immediate action.
9. Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR USE.
Nothing in these Terms limits rights that cannot lawfully be waived.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGY AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNT YOU PAID TO NUDGY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by law.
11. Indemnity
To the extent permitted by law, you agree to indemnify nudgy and its affiliates against third-party claims, losses, and reasonable expenses arising from your unlawful User Content, your material violation of these Terms, or your infringement of another person's rights.
12. Changes
We may update these Terms to reflect changes to the Services, law, or safety requirements. We will post the updated Terms and revise the "Last Modified" date. If changes are material, we will provide reasonable notice where required. Continued use after the effective date means you accept the updated Terms.
13. Governing Law and Disputes
These Terms are governed by the laws applicable in the place where the nudgy entity identified in the relevant app-store listing is established, without limiting mandatory consumer protections that apply where you live. Any dispute will be handled by courts with lawful jurisdiction unless you and nudgy separately agree to another legally valid process.
14. General
These Terms and the Privacy Policy are the entire agreement concerning the Services. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, reorganization, or sale of the Services, subject to applicable law.
